Terms & Conditions
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Pathfolio Tech Private Limited, a company incorporated under the Companies Act, 2013, operating under the trademark Pathfolio AI. By accessing or using the Platform — including the website, mobile application, API, or any related service — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
Definitions and Interpretation
Key terms used throughout this agreement
In these Terms, the following definitions apply unless the context otherwise requires:

| "Student" | An individual registered on the Platform to receive career guidance, learning resources, portfolio tools, or mentorship services. |
| "Mentor" | A professional individual registered on the Platform to provide guidance, coaching, or career counselling to Students. |
| "Institution" | Any school, college, or university registered on the Platform under an institutional account or enterprise agreement. |
| "Content" | All text, data, information, images, documents, AI-generated outputs, and other material made available through the Platform. |
| "Services" | AI-powered career pathfinding, mentorship matching, portfolio building, institutional management dashboards, skill assessments, and all related offerings. |
| "Personal Data" | Any information relating to an identified or identifiable individual as defined under the DPDPA 2023 and IT (SPDI) Rules, 2011. |
| "Applicable Law" | All Indian laws, regulations, rules, and judicial orders applicable to the Company and Users, including but not limited to the IT Act 2000, Contract Act 1872, Consumer Protection Act 2019, and DPDPA 2023. |
References to the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.
Eligibility and Account Registration
Who may use the Platform and how to create an account
- You must be at least 13 years of age to register on the Platform. Users aged 13 to 17 ("Minors") may only access the Platform with verifiable consent from a parent, legal guardian, or an authorized institutional administrator.
- By registering, you represent and warrant that all information you provide is accurate, current, complete, and that you have the legal capacity to enter into this agreement. If registering on behalf of an Institution, you represent that you are duly authorized to bind that Institution.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@pathfolioai.com upon becoming aware of any unauthorized access to or use of your account.
- Pathfolio Tech Private Limited shall not be liable for any loss or damage arising from your failure to keep your credentials secure.
- Each User is entitled to one (1) account. Multiple accounts for the same individual are prohibited unless expressly authorized by the Company for institutional or enterprise purposes.
- Accounts are non-transferable and may not be sold, assigned, or gifted to any third party.
- The Company reserves the right to verify account information and reject or cancel registrations at its sole discretion.
User Roles and Responsibilities
Obligations specific to each category of User
Students
- Use the Platform solely for educational and career development purposes.
- Maintain respectful conduct when interacting with Mentors and peers.
- Not misrepresent qualifications, achievements, or identity in portfolios or profiles.
- Not share account credentials with others.
- Ensure all uploaded content (projects, documents) is your own original work or properly licensed.
Mentors
- Provide accurate, current information about professional background and qualifications.
- Not solicit students for external commercial services, products, or platforms outside Pathfolio AI.
- Comply with all applicable professional codes of conduct and ethics.
- Disclose any conflicts of interest that may affect guidance provided to students.
- Not engage in any form of harassment, discrimination, or inappropriate communication.
- Maintain confidentiality of student information accessed through the Platform.
Schools
- Ensure that all student data uploaded is done lawfully with appropriate consent under DPDPA 2023.
- Appoint a designated administrator responsible for the institutional account.
- Use bulk management tools and dashboards solely for legitimate educational purposes.
- Notify Pathfolio AI of any data breach affecting student information within 72 hours.
- Not share institutional login credentials with unauthorized personnel.
Universities
- All obligations of Schools apply to Universities.
- Enterprise agreements govern the specific data processing relationship between the University and the Company.
- Must designate a Data Protection Contact for DPDPA 2023 compliance purposes.
- Must ensure faculty and administrative users comply with these Terms.
- Responsible for ensuring ethical use of AI insights in student assessment or guidance.
All Users, regardless of role, are required to comply with the general conduct obligations set out in Section 06 of these Terms.
AI Services and Limitations
Nature, scope, and limitations of our artificial intelligence features
Important Disclaimer: Pathfolio AI's artificial intelligence features — including career path recommendations, mentor matching, skill gap analysis, and portfolio assessments — are informational and assistive tools only. They do not constitute professional career, educational, legal, psychological, or financial advice. Users should seek appropriately qualified professional guidance before making significant life, career, or financial decisions.
- AI-generated outputs are based on statistical models and training data and may contain errors, inaccuracies, or omissions. The Company makes no warranty as to the accuracy, completeness, reliability, or fitness of AI outputs for any particular purpose.
- AI recommendations do not guarantee any specific employment outcome, academic admission result, salary range, scholarship award, or career success.
- The Company reserves the right to modify, update, retrain, or discontinue any AI feature, model, or algorithm at any time, with or without prior notice, as part of ongoing improvement of the Services.
- Users must not attempt to reverse-engineer, decompile, manipulate, jailbreak, or exploit AI systems, prompts, models, or data pipelines on the Platform.
- Users must not use AI features to generate, disseminate, or amplify misleading, harmful, discriminatory, or unlawful content.
- The Company is not liable for decisions made by Users, Institutions, employers, or third parties based on AI-generated outputs from the Platform.
Pathfolio AI continuously works to improve AI fairness, reduce bias, and ensure equitable outcomes across all user demographics. If you believe an AI output is biased or harmful, please report it to feedback@pathfolioai.com.
Intellectual Property Rights
Ownership of the Platform, content, and user-generated material
Company's Intellectual Property:
- Pathfolio AI is a trademark of Pathfolio Tech Private Limited. All related trade names, logos, designs, taglines, and brand assets are the exclusive property of the Company. Unauthorized use, reproduction, or imitation of the trademark is strictly prohibited and may result in legal action.
- All software, source code, AI models, algorithms, platform architecture, databases, documentation, designs, and content created by or for the Company are protected under the Copyright Act, 1957, the Patents Act, 1970, and applicable trade secret law. All rights are reserved.
- No rights or licenses to use the Company's intellectual property are granted by these Terms except as expressly stated herein.
User-Generated Content:
- Users retain full ownership of content they upload to the Platform (including portfolios, academic records, documents, and project files).
- By uploading content, you grant Pathfolio Tech Private Limited a non-exclusive, royalty-free, worldwide, sublicensable license to store, host, process, reproduce, and display such content solely to the extent necessary to provide and improve the Services.
- This license terminates when you delete the content or close your account, subject to applicable data retention obligations under Indian law.
- You represent and warrant that you own or have the necessary rights to all content you upload and that such content does not infringe any third-party intellectual property rights.
Feedback:
- Any feedback, suggestions, or ideas you provide to the Company may be used by the Company without restriction or compensation to you. You waive any moral rights in such feedback to the extent permitted by law.
Prohibited Conduct
Actions that are strictly forbidden on the Platform
The following conduct is strictly prohibited. Violations may result in immediate account suspension, termination, and/or legal proceedings:
- Upload, transmit, post, or share content that is unlawful, defamatory, obscene, pornographic, threatening, harassing, fraudulent, or infringes any third-party rights.
- Impersonate any person, institution, or entity, or falsely represent your affiliation with any organization.
- Use automated tools, bots, crawlers, or scripts to scrape, harvest, or extract data from the Platform without the Company's prior written consent.
- Attempt to gain unauthorized access to any part of the Platform, user accounts, databases, or backend systems.
- Introduce or transmit any virus, malware, spyware, ransomware, or other harmful code.
- Interfere with, disable, or disrupt the integrity, performance, or availability of the Platform or its infrastructure.
- Use the Platform for unsolicited commercial communications (spam) or unauthorized solicitation of users.
- Post, transmit, or share any content that exploits, harms, or endangers minors in any manner whatsoever.
- Circumvent, disable, or otherwise interfere with any security or access control feature of the Platform.
- Engage in any activity that violates the IT Act, 2000, the Indian Penal Code, or any other applicable Indian or international law or regulation.
- Use the Platform to promote, facilitate, or engage in discrimination based on caste, religion, gender, disability, nationality, or any other protected characteristic.
- Collect, store, or misuse personal data of other Users obtained through the Platform.
Subscriptions, Payments, and Refunds
Pricing, billing cycles, GST, and refund terms
- Pathfolio AI offers both free-tier and paid subscription plans. Features and pricing for each plan are published on the Platform's pricing page and are subject to change with prior notice.
- All payments are processed in Indian Rupees (INR) through RBI-regulated, PCI-DSS compliant payment gateways. International payment support in USD and GBP will be introduced upon expansion to those markets.
- Goods and Services Tax (GST) is applicable on all paid transactions as per Indian tax law. GST will be itemized on all invoices and tax receipts provided to Users.
- Paid subscriptions are billed in advance on a monthly or annual cycle as selected. Subscriptions automatically renew at the end of each billing period unless cancelled by the User at least 24 hours before the renewal date.
- Institutional and enterprise pricing is governed by separate written agreements executed between the Company and the Institution, which shall prevail over these Terms in case of conflict on payment matters.
- Refund Policy: Subscription fees are generally non-refundable once a billing period has commenced, except: (a) where required by the Consumer Protection Act, 2019 or other applicable law; (b) in the case of a confirmed technical error or duplicate charge on the Company's part; or (c) at the Company's sole discretion. Refund requests must be submitted to billing@pathfolioai.com within 7 days of the charge.
- The Company reserves the right to modify pricing with at least 30 days' notice to existing subscribers. Continued use after the effective date of a price change constitutes acceptance of the revised pricing.
Disclaimer of Warranties
Limitations on the Company's representations regarding the Platform
The Platform and all Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by applicable Indian law.
- The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- The Company does not warrant the accuracy, reliability, completeness, or timeliness of any content or AI-generated output on the Platform.
- The Company does not warrant that use of the Platform will lead to any particular career, academic, or professional outcome for any User.
- Any material downloaded or obtained through the Platform is accessed at the User's own risk. The Company is not responsible for any damage to your device or data.
- The Platform may contain links to third-party websites or services. The Company does not endorse and is not responsible for the content, privacy practices, or terms of such third-party platforms.
Limitation of Liability
Caps on the Company's financial responsibility to Users
To the maximum extent permitted by applicable Indian law, Pathfolio Tech Private Limited, its directors, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of or inability to use the Platform — including but not limited to loss of data, loss of revenue, loss of career or educational opportunities, or loss of profits — even if advised of the possibility of such damages.
- The Company's total aggregate liability to any User for all claims arising under or in connection with these Terms shall not exceed the total amount paid by that User to the Company in the twelve (12) calendar months immediately preceding the event giving rise to the claim, or INR 5,000, whichever is greater.
- This limitation applies regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise).
- The Company is not liable for: (a) the accuracy, quality, or legality of mentor advice; (b) institutional decisions made using Platform data; (c) AI-generated recommendations relied upon by Users; or (d) third-party content accessible through the Platform.
- Where any applicable law does not allow the exclusion or limitation of incidental or consequential damages, the above limitations may not apply to you, and our liability shall be limited to the extent permitted by such law.
Indemnification
Your obligation to defend and compensate the Company
You agree to indemnify, defend, and hold harmless Pathfolio Tech Private Limited, its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or access to the Platform;
- Your violation of these Terms or any applicable law;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any content you upload, submit, or transmit through the Platform;
- Any misrepresentation made by you in connection with your use of the Platform.
The Company reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company at your expense.
Termination and Suspension
When and how accounts may be ended or suspended
Termination by the Company:
- The Company reserves the right to suspend, restrict, or terminate any User account, with or without prior notice, for: (a) violation of these Terms; (b) violation of applicable law; (c) conduct that is harmful to other Users, third parties, or the Company; (d) non-payment of dues; or (e) any reason the Company deems sufficient in its sole and reasonable discretion.
- Upon termination, the User's right to access and use the Platform immediately ceases. The Company may delete the User's account and all associated data, subject to legal retention requirements.
Termination by the User:
- Users may request account termination at any time by contacting support@pathfolioai.com or through the account settings page.
- Termination does not entitle the User to a refund of any prepaid subscription fees except as provided under Section 07.
Survival: The following provisions shall survive termination of these Terms: Sections 05 (Intellectual Property), 08 (Disclaimer of Warranties), 09 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 14 (Miscellaneous).
Governing Law, Dispute Resolution & Jurisdiction
Legal framework, arbitration, and court jurisdiction
- These Terms are governed by and shall be construed in accordance with the laws of the Republic of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and all other applicable legislation, without regard to conflict of law principles.
- In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof, the parties shall first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party, and the parties shall negotiate for a period of 30 days from the date of such notice.
- If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, or failing agreement, appointed in accordance with the Act. The seat and venue of arbitration shall be India, and proceedings shall be conducted in the English language.
- Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief from a competent court.
- For matters not subject to or pending arbitration, the parties submit to the exclusive jurisdiction of the competent courts of India.
Roadmap Notice — USA: Upon launch in the United States, these Terms will be supplemented by US-specific addenda covering compliance with COPPA, FERPA, CCPA/CPRA, and applicable state consumer protection laws. UK: Upon UK launch, addenda covering the UK GDPR, Online Safety Act 2023, and Consumer Rights Act 2015 will be incorporated. Roadmap
Amendments to These Terms
How and when we may update this agreement
- Pathfolio Tech Private Limited reserves the right to modify, update, or replace these Terms at any time at its sole discretion.
- For material changes (those that affect your rights or obligations), we will provide notice via email to your registered address and/or an in-app notification at least 14 days before the updated Terms take effect. For non-material changes (such as typographical corrections or clarifications), we may update the Terms with immediate effect.
- The date of the most recent revision is displayed at the top of this document. We encourage Users to review the Terms periodically.
- Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and may request account deletion.
Miscellaneous Provisions
General legal clauses completing the agreement
- Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any enterprise agreements, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- No Waiver: The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
- Force Majeure: The Company shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from events beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, government action, pandemic, or failure of third-party infrastructure.
- Relationship of Parties: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company. You are an independent User of the Platform.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent. The Company may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
- Language: These Terms are written in the English language. In the event of any conflict between an English version and a translation, the English version shall prevail.
- Notices: Notices to the Company must be sent to legal@pathfolioai.com. Notices to Users will be sent to the registered email address on your account.
These Terms have been drafted in good faith to be transparent, fair, and compliant with Indian law as of 2025, including the IT Act 2000, Contract Act 1872, Consumer Protection Act 2019, and DPDPA 2023. We recommend having these Terms reviewed by a qualified Indian advocate before publishing them.
